The Ethics of Alternative Business Structures and Managed Services Organizations

On June 22, 2026, Nathan Crystal and Francesca Giannoni-Crystal will be presenting the CLE program “The Ethics of Alternative Business Structures and Managed Services Organizations.”
Alternative Business Structures (ABS) and Managed Services Organizations (MSOs) are among the most significant developments currently affecting the legal profession. These models have generated a growing number of ethics opinions, and an even greater number of questions.
The program will examine:
• What ABSs and MSOs are, and how and why they developed;
• The various models of lawyer participation, including referrals, co-counsel arrangements, and MSO relationships;
• Contractual terms commonly negotiated in MSO arrangements;
• The ethical considerations lawyers must evaluate before participating in these structures; and
• The differing approaches taken by various jurisdictions, including those that have introduced forms of ABS (such as Arizona and Utah), those that seem to blanketly prohibit their use by lawyers (such as California and South Carolina), and those that have adopted a more nuanced approach (such as New York).
